1. Introduction.

This Code of Conduct serves as a guide to ensure that our actions reflect our core values, including transparency, accountability, and respect for human rights.

This Code applies to all employees, officers, directors, contractors, and business partners of Arche ("Arche Team Members"). Compliance with this Code is mandatory, and violations may result in disciplinary action, including termination or legal consequences.

2. Compliance with Laws and Regulations

 

Arche operates in a complex and dynamic legal environment, and compliance with all applicable laws and regulations is fundamental to our business. All Arche Team Members must:

 

- Comply with all local, national, and international laws applicable to our operations, including but not limited to corporate governance, data protection, employment, anti-corruption, and financial regulations.

- Cooperate with audits, regulatory inquiries, and legal proceedings as required by law.
- Seek guidance when uncertain about the legal implications of any business decision.

3. Anti-Bribery and Anti-Corruption


Arche has a zero-tolerance policy toward bribery and corruption. Arche Team Members must:

- Never offer, give, solicit, or accept bribes, kickbacks, or any other form of improper payment or advantage, whether directly or through third parties.

- Adhere to the U.S. Foreign Corrupt Practices Act (FCPA), the UK Bribery Act, and all other applicable anti-corruption laws.

- Conduct due diligence on third-party business partners to mitigate bribery and corruption risks.

- Report any suspected corrupt practices immediately through our internal reporting mechanisms.

Arche Team Members must act in the best interests of the company and avoid conflicts of interest, including:

- Personal financial interests that could influence business decisions.
- Engaging in outside employment or business activities that compete with Arche.
- Offering or accepting gifts or entertainment that could improperly influence business relationships.
- Any actual or potential conflicts of interest must be disclosed to the Compliance Team.

 

6. Confidentiality and Data Protection
 

We respect privacy rights and are committed to protecting confidential information. Arche Team Members must:

 

- Maintain the confidentiality of proprietary, client, and personal data.
- Comply with applicable data protection laws, including GDPR, CCPA, and other relevant regulations.
- Report any data breaches or security risks immediately.

 

7. Ethical Business Practices and Responsible Investment
 

As a firm committed to responsible operations, all business activities should:

 

- Align with sustainable and responsible investment frameworks.
- Avoid financing or engaging with entities that violate human rights, exploit labor, or harm the environment.
- Adhere to industry best practices for ethical governance.

 

8. Workplace Conduct and Safety

- Follow all health and safety protocols.

9. Reporting Violations and Whistleblower Protection
 

Arche encourages all team members to speak up if they observe unethical behavior, legal violations, or misconduct.

Retaliation against individuals who report violations in good faith is strictly prohibited.

 

Investigations will be conducted fairly, confidentially, and promptly.

 

10. Compliance and Accountability
